SUBSCRIPTION TERMS AND CONDITIONS

1. Contracting Party
Your contract is with Brandirector Ltd a company registered in England and Wales under registered number 03868307 whose registered office is at Price Bailey LLP The Quorum Barnwell Road Cambridge CB5 8RE. together with its agents and sub-contractors.
2. Brand Owners registration procedure
If you are the authorized representative of a product or brand (“Brand Owner”) that you wish to have featured in a potential programme made by a producer (“Producer”), please complete the relevant registration form. Once you have completed the registration and clicked the ‘Submit ’ button, you will have consented to your details being live on the Brandirector web site (“Web Site”), being available to any Producer who has registered on the Web Site and to those Producers contacting you directly.
3. Producers registration procedure
If you are a Producer and wish to feature a product or brand within a programme you are producing, please complete the relevant registration form. Once you have completed the registration and clicked the ‘Submit’ button, you will have consented to your details being live on the Web Site, being provided to any interested Brand Owner who has registered on this site and to those Brand Owners contacting you directly.
4. When Payment for the service is the subscription contract is formed
When you click the "Submit" button to submit your details as specified above, you are making an offer to Brandirector to use the registration services offered on the Web Site which, if accepted by us, will result in a binding contract.
Where applicable, your credit/debit card will be debited for the amounts advertised on the Web Site, or an invoice will be issued when you click "Submit" Button. Although you will receive an email acknowledging that your order has been received successfully and is being processed, the contract between us is not formed at this point. A legally binding contract is formed at the time we inform you by e mail that your payment details have been successfully processed or payment has been received and your registration details have been filled in correctly. We will not be responsible if you fail to receive an e mail confirmation because you have supplied us with an incorrect address.
We reserve the right not to accept or process your order for any reason. All orders are subject to validation checks and authorisation by your payment card issuer and receipt of the relevant payment. If we do not accept your order and your credit/debit card has already been debited, we will notify you and refund your card in full immediately.
5. Right to refuse orders
We reserve the right not to fulfil and to cancel your registrations if we have reason to believe that you are not validly registering on the site for any reason or if we are unable to obtain payment authorisation from the issuer of your payment card or payment is overdue.
6. Duration of Registration
The duration of your initial registration shall be 6 months and your first payment shall cover this time period (“Initial Time Period”). 2 weeks prior to the expiry of the Initial Time Period you will be send a reminder by e mail asking you if you wish to extend your registration. There will be a link on the email which will enable you to extend your registration and make further payment as applicable. We will not be responsible if, for any reason, you are not sent or receive an e mail to remind you to extend your registration during or after the Initial Time Period.
7. Liability
We will not be liable to you for any matters concerning registration of your details on the Web Site or where the issuer of your payment card refuses to authorize payment to us or where payment has not been received by us, or where such delay or failure is due to circumstances beyond our control or the control of our sub–contractors and agents, including but not restricted to war, electricity power failure, utilities failure, failure of telecommunications links, failure of transport infrastructure, fire, flood, government act, act of God, legislative constraints, strikes, labour disputes or malicious damage involving employees.
In addition we accept no liability in the event that a Brand Owner does not have the authority to make agreements relating to the product concerned or a programme is not produced nor any aspect of any agreement or understanding you enter into as a result of registration on the Web Site. Additionally we do not make any representations nor have any liability in relation to compliance with any broadcasting codes relating to product placement.
Our liability to you in the event of registrations failing for any reason shall be limited to the refund of the cost of registration.
To the extent permitted by law we exclude all other liability to you. Our exclusions of liability shall not apply to any damages arising from death or personal injury caused by our negligence or that of any of our employees or agents.
These Terms and Conditions do not and shall not affect your statutory rights as a consumer.
8. Price Information
Registration prices displayed on the Web Site will prevail at all times. We reserve the right to change our prices at any time after the Initial Time Period and shall notify you of the same if and when we send you a reminder email to renew your registration. Although we try to ensure that all prices are accurate, errors may occur. If we discover an error in the price of your order, we will inform you as soon as possible. You will have the option of reconfirming your registration at the correct price or cancel it. If we are unable to contact you, we will treat the order as cancelled. We will refund you in full if you cancel the registration and have already paid.
9. Third Party Rights
A person who is not a party to these Terms and Conditions shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce or rely upon any provision of them.
10. Use of Information
You agree that we will use the personal information (e.g. name, address, e-mail address) ("Personal Information") you supply on the Web Site and we will provide this information to other registered users of the Web Site in accordance with these terms and conditions. We shall also use the Personal Information when contacting you about updates or registration on the Web Site. Where you have registered for our newsletter you are consenting to us sending emails to you regarding our services. Details of how to unsubscribe from our newsletter are at the bottom of each email.
On the online order form we may ask you about receiving details of other products and services and/or those of third parties which may be of interest to you. You should tick the relevant boxes to indicate whether or not you wish to receive such information.
You also agree that we may publish details on the Web Site (and in all publicity and promotional material relating thereto) of your products and programmes if product placements has occurred within programmes as a result of registration on the web site.
11. Variation
We may change these Terms and Conditions at any time upon giving you 10 days prior written notice
12. Governing Law and Jurisdiction
These Terms and Conditions are governed by English law. You hereby irrevocably submit to the exclusive jurisdiction of the English courts notwithstanding the jurisdiction where you are based.
13. Entire Agreement
These Terms and Conditions override any contrary terms or conditions published by us in relation to any order placed by you with us.
